On March 10, 2006, Primedex Health Systems, Inc. issued a press release announcing the issuance of a $161 million senior secured credit facility which it used to refinance substantially all of its existing indebtedness (except for $16.1 million of outstanding subordinated debentures and approximately $5 million of capital lease obligations). The press release is attached as Exhibit 99.1 to this report and is incorporated herein by this reference.
